Blood flow, to put it simply.
It really has nothing to do with holding your breath. Your brain gets oxygen from your blood.

When you cut off blood flow to the brain you cut off oxygen to the brain.

When you hold your breath your brain still has oxygen coming in because you are not stopping your blood flow.
